Terms of Service

Last Updated: November 4, 2026 Effective Date: November 4, 2026

Agreement to Terms

Welcome to Memory Row. These Terms of Service ("Terms") constitute a legally binding agreement between you and Memory Row ("Memory Row Labs, Inc.," "we," "our," or "us") governing your use of the Memory Row mobile applications for iOS and Android (each an "App," and collectively the "Apps") and related services (collectively, the "Service").

By downloading, accessing, or using the Service — whether or not you create an account — you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Eligibility

1.1 Age Requirement and Verification

You must be at least 13 years old to create an account and use the Service.

Age Verification: During account creation, you will be asked to provide your date of birth through a neutral age screen. If your date of birth shows you are under 13, account creation will be blocked. We do not indicate the minimum age before you enter your information.

Users Under 13: We do not knowingly permit users under 13 to create accounts. If we discover that a user is under 13, we will immediately deactivate the account and delete all associated personal information within 2 business days.

1.2 Users Under 18 — Parental Consent

If you are between 13 and 18 years old (or under the age of majority in your jurisdiction):

  • Your parent or legal guardian must review and consent to these Terms (including the Privacy Policy, arbitration provisions, and automated content moderation) before you can use the Service
  • During registration, you will be asked to provide a parent or guardian's email address so we can send them a consent notification
  • Your parent or legal guardian is responsible for your use of the Service
  • Certain features are restricted or have different default privacy settings (see our Privacy Policy for details)

How parental consent is collected: We email the parent or guardian a notification with a single review link. Tapping the link opens an in-app approval screen if the parent has the Memory Row app installed on their device, or a secure web review page otherwise. While the request is pending, the teen cannot use the App. The parent may approve or deny the request. Approval makes the teen's account usable. Denial deletes the teen's account and revokes all active sessions immediately. If the parent takes no action within 48 hours, the consent request expires and the account remains unusable; the teen may register again to send a new request.

Auto-linking on approval. If the parent's email matches an existing Memory Row parent account, approving the consent request automatically links the teen account to that parent account. Once linked, the parent gains the visibility described in Section 1.5 below.

Manual link by an existing parent. A parent who already has a Memory Row account may also link a teen from My Family by entering the teen's username. We verify that the parent's account email matches the parent email the teen entered at registration before linking.

Parental Rights: Your parent or legal guardian may at any time:

  • Request information about your account and our data practices
  • Request a copy of the data we hold about you
  • Request deletion of your account and all associated data
  • Revoke consent for your use of the Service, which will result in account termination
  • Opt you out of the arbitration agreement (see Section 13.5)

To exercise these rights, parents should contact us at [email protected].

1.3 Account Restrictions

You may not use the Service if:

  • You are under 13 years old
  • You have previously been banned from the Service
  • You are prohibited from using the Service under applicable law
  • You are located in a country where the Service is not available

1.4 Accurate Information

You must provide accurate, current, and complete information during registration and keep your account information updated.

1.5 What a Linked Parent Can See and Do

If a parent or guardian has been linked to a teen account (whether through the consent flow's auto-link or a manual link as described in Section 1.2), the parent has the following visibility into the teen account from within the Memory Row app:

  • Activity — games attended (date, venue, teams, score), badges earned, and aggregate counts.
  • Purchases — full in-app purchase history including each product, category, dollar amount, and date, plus a running total.
  • Direct messaging settings — whether DMs are enabled at all, whether the teen is restricted to an approved-contacts list, and the contents of that approved-contacts list. The parent can toggle these settings and add or remove contacts.
  • Message activity summary — total open conversations, total messages sent and received, and a list of usernames the teen has messaged with per-contact message counts. The parent cannot read the contents of the teen's messages.

The parent cannot post as the teen, view the teen's password, or impersonate the teen. A parent may unlink themselves from My Family at any time; unlinking removes the visibility above but does not delete the teen account. See our Privacy Policy Section 3.6 for the same disclosure from the teen's perspective.

Teen disclosure. A linked teen can view the identity of their linked parent and the categories of information the parent can see on a "Linked Parent" screen in Settings. This is informational only — the screen does not let the teen unilaterally end the link.

Automatic end at 18. When a linked teen turns 18, the parent-teen link is dissolved automatically. The parent loses all visibility described above and any parent-set DM restrictions (approved-contacts list and approved-contacts mode) are cleared. No action is required from either party.

1.6 Guest Access

The Apps allow you to browse public content — such as the Discover feed, public profiles, and public posts — without creating an account ("Guest Access").

  • These Terms apply to Guest Access. By browsing as a guest you agree to these Terms, including the age requirement in Section 1.1 and the acceptable-use rules in these Terms.
  • Guest Access is read-only. Creating content, following, messaging, purchases, and all other account-based features require an account.
  • We may change, limit, or discontinue Guest Access at any time.

2. Account Registration

2.1 Account Creation

To use most features of the Service, you must create an account by:

  • Providing a valid email address
  • Creating a unique username
  • Setting a secure password
  • Providing your date of birth for age verification
  • Agreeing to these Terms and our Privacy Policy

You may also sign in using Apple or Google OAuth.

2.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We recommend using a strong, unique password and enabling additional security features when available.

2.3 One Account Per Person

You may only maintain one account. Creating multiple accounts may result in termination of all accounts.

2.4 Account Transfers

You may not sell, transfer, or assign your account or any account rights to anyone else.

3. User Content

3.1 Your Content

"User Content" means any content you create, upload, post, or share through the Service, including:

  • Profile information and photos
  • Posts, comments, and text

  • Any other content you submit

3.2 Ownership

You retain ownership of your User Content. However, by posting User Content, you grant us a license as described below.

3.3 License to Memory Row

  • Use, reproduce, modify, and display your User Content
  • Distribute your User Content through the Service
  • Create derivative works (e.g., formatting for different devices)

This license is for the purpose of operating, promoting, and improving the Service. This license ends when you delete your User Content or account, except:

  • Where your content has been shared with others who have not deleted it (your name will be anonymized)
  • For the time needed to remove content from backup systems (up to 60 days, as detailed in our Privacy Policy)
  • Where we are required to retain it for legal purposes (such as active litigation or regulatory investigation)

3.4 Content Representations

You represent and warrant that:

  • You own or have the rights to post your User Content
  • Your User Content does not infringe any third party's rights
  • Your User Content complies with these Terms and applicable laws

3.5 Content Removal

We may remove or disable access to any User Content at any time for any reason, including content that violates these Terms or that we find objectionable. We are not obligated to store or maintain your User Content.

Content flagged by automated systems may be removed immediately or held for human review.

  • You will receive a notification explaining why your content was removed or restricted

Requesting Human Review:

  1. You may request human review within 14 days of content removal or flagging
  2. Email [email protected] with your username and a description of the content
  3. A human moderator will review the decision within 5 business days
  4. You will receive a written explanation of the outcome

  • Send appeals to [email protected] within 14 days of the review decision
  • A senior moderator will review the appeal within 10 business days
  • The appeal decision is final

Illegal Content: Content that is illegal (including child sexual abuse material, non-consensual intimate imagery, or content depicting illegal activity) will be removed immediately and may be reported to the National Center for Missing and Exploited Children (NCMEC) and/or law enforcement. This type of removal is not subject to appeal.

The Service displays content owned by third parties, including team logos, game schedules, scores, and statistics. This content is the property of its respective owners.

Sports Data and Scores: We obtain game schedules, scores, and statistics from third-party sports data sources. If a data source changes or becomes unavailable, certain features relying on that data may become unavailable, and we will notify users of any significant changes.

Team Logos, Names, and Trademarks: Team and league logos, names, and marks are owned by their respective teams and leagues. We display these for informational purposes to identify teams within the Service. If a rights holder requests removal, we will comply promptly.

Player Names and Likenesses: Player names used in connection with game data are factual information. We do not display professional player photos. Photos you take of players at games are your own copyright.

  • Virtual items have no real-world monetary value and cannot be exchanged for cash outside the Service

6.3 Trading and Gifting

Trading and gifting are not generally available unless we explicitly enable those features in the App.

  • You are responsible for any taxes or fees associated with transfers that you initiate through supported features

6.4 Payment Processing

All payments are processed through the Apple App Store (for iOS) or Google Play Store (for Android). Your purchase is subject to the respective terms of service and payment policies of the platform through which you made the purchase.

Feature Discontinuation: If we discontinue an item type or feature:

  • You retain your existing items in your collection
  • Transfer of discontinued items (where transfer features are enabled) may be restricted
  • If a purchased item becomes non-functional due to our changes, we will offer in-app credit or a replacement item of comparable value
  • We will provide at least 30 days' notice before discontinuing a feature that affects purchased items

6.7 Account Termination and Items

  • Termination for Terms violation: All items are forfeited; no refund
  • Voluntary account deletion: Items remain recoverable for 90 days; after that, they are permanently deleted
  • Termination by us without cause: Items transferred to you via data export or refunded within 30 days

6.8 Price Changes

We reserve the right to change prices at any time. Price changes will not affect purchases already completed.

8. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, EXCEPT AS REQUIRED BY LAW.

We disclaim all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of User Content or third-party content
  • Uninterrupted or error-free service

What We Do Commit To: Notwithstanding the above disclaimers, we commit to:

  • Transmitting your data securely using industry-standard TLS/SSL encryption

  • Any errors will be corrected within a specific timeframe

9.3 Sports Data

Sports data, scores, and schedules are provided for informational purposes only. We do not guarantee the accuracy or timeliness of sports data and are not responsible for errors in third-party data.

9.4 User Content

We are not responsible for User Content posted by other users. Views expressed in User Content are those of the users and do not represent our views.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORY ROW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Damages resulting from:
    • Your use or inability to use the Service
    • Unauthorized access to your account or data
    • Conduct of other users
    • Any third-party content or services

10.2 Cap on Liability

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amounts you paid to us in the 12 months before the claim arose, or
  • One hundred U.S. dollars ($100)

10.3 Basis of the Bargain

These limitations are fundamental elements of the agreement between you and Memory Row. The Service would not be provided without these limitations.

10.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Memory Row and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your User Content infringing any third party's copyrights, trademarks, or other intellectual property rights
  • Your violation of these Terms (for example, harassment, posting prohibited content, or misrepresenting your identity)
  • Your violation of any applicable law

You do not indemnify us for:

  • Our own negligence, gross negligence, or willful misconduct
  • Our violations of applicable law or our own policies
  • Our failure to protect your data as described in our Privacy Policy
  • Claims caused by defects in the Service that we introduced

User-to-user disputes: If another user brings a claim against Memory Row related to a dispute with you, you agree to cooperate with our defense. However, you are only responsible for indemnifying claims arising from your own content or actions, not from our moderation decisions or platform design.

We reserve the right to assume exclusive defense of any matter subject to indemnification, in which case you will cooperate with us. We will notify you within 14 days if we require you to indemnify us.

12. Termination

12.1 Termination by You

You may delete your account at any time through the App settings. Upon deletion:

  • Your profile becomes inaccessible to other users immediately
  • Your User Content is removed from public display immediately and permanently deleted from our systems within 90 days (or within 30 days for users under 18, per our accelerated teen deletion schedule — see our Privacy Policy for the full retention schedule)
  • Your name is anonymized on any content previously shared with other users
  • You lose access to purchased virtual items (recoverable for 90 days; see Section 6.7)
  • Certain data is retained for limited periods as described in our Privacy Policy (for example, transaction records for 7 years from the transaction date, stored in anonymized form, for tax and legal purposes)
  • We will confirm deletion completion within 30 days of your request

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, for any reason, including:

  • Violation of these Terms
  • Illegal or harmful activity
  • Request by law enforcement
  • Discontinuation of the Service

We do not close or delete accounts because they are inactive. An account is only deleted when you (or, for a teen, a parent or guardian) ask us to, or under the reasons listed above.

12.3 Effect of Termination

Upon termination:

  • Your license to use the Service ends immediately
  • You remain bound by provisions that by their nature survive termination
  • We are not liable for any termination of your access to the Service

12.4 Survival

The following sections survive termination: User Content licenses (for content shared before termination), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a legal claim, you agree to try to resolve the dispute informally by contacting us at [email protected]. We will try to resolve the dispute within 60 days.

13.2 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and Memory Row agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service will be resolved by binding arbitration, rather than in court, except that:

  • Either party may bring claims in small claims court if eligible
  • Either party may seek injunctive relief in court for intellectual property infringement

Arbitration Rules:

  • Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules
  • Arbitration will take place in San Francisco, California or via video conference at your election
  • The arbitrator's decision will be final and binding
  • Judgment may be entered in any court of competent jurisdiction

Arbitration Costs: Memory Row will pay all arbitration filing fees, administrative costs, and arbitrator fees. If you prevail in arbitration, you may recover reasonable attorneys' fees. This ensures arbitration is accessible regardless of your economic situation.

13.3 Class Action Waiver

YOU AND MEMORY ROW AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate multiple persons' claims and may not preside over any class, consolidated, or representative proceeding.

Exceptions to Class Action Waiver:

  • Claims that cannot legally be subject to arbitration under applicable law
  • Claims for injunctive relief to stop ongoing harm
  • Claims brought by government agencies or regulators

13.4 Users Under 18 — Special Provisions

If you are under 18 years old:

  • You (or your parent/guardian) may choose to resolve disputes through individual court proceedings instead of arbitration
  • The class action waiver in Section 13.3 does not apply to you
  • Your parent or guardian may opt you out of this entire arbitration agreement on your behalf (see Section 13.5)
  • You may bring claims in small claims court regardless of other provisions in this section

13.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out.

For users under 18: A parent or legal guardian may opt out on the minor's behalf within 60 days of account creation by emailing [email protected] with: the parent's name, relationship to the minor, the minor's username, and a statement opting out of arbitration.

13.6 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.7 Time Limitation

Any claim arising from these Terms or the Service must be filed within one (1) year after the claim arose, or it is permanently barred.

14. Changes to Terms

We may modify these Terms at any time. When we make material changes:

  • We will update the "Last Updated" date
  • We will notify you through the App or by email
  • We may require you to accept the new Terms to continue using the Service

Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Memory Row regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it in the future.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

15.5 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Memory Row.

15.6 Notices

We may send notices to you via email, push notification, or by posting on the Service. Notices to us must be sent to [email protected].

15.7 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

15.8 Export Controls

You agree to comply with all applicable export and import laws. You may not use the Service in any country subject to U.S. embargo or if you are on any U.S. government restricted party list.

15.9 Government Users

If you are a U.S. government user, the Service is provided as "commercial computer software" under applicable federal acquisition regulations.
